I have two database files. When I synchronize one file with the other, it
changes the modified date of both the database files to some older date.
I just synchronized today. The modified date before synchronization was
8/28/2013 but after synchronization it shows modified date of 2/27/2003.
It is not happening with sample files.
KeePass modifies the date of both files to the current time as it writes both files post sync. To have an older date on the files implies the computer clock is incorrect.

I still cannot reproduce the issue with the information you provided.
As KeePass never changes database file dates manually (it just writes to files and Windows updates the dates accordingly), I also cannot imagine how KeePass could cause the issue. Much more likely is that it's caused externally (e.g. by another application or an incorrect clock, like Paul suggested).
If you find a way to reliably reproduce the issue, please let us know.

The current version of KeePass performs sync in the same way as previous versions so it is unlikely to be a KeePass issue.
