Here is a simple setup.py script I am successfully using with the most 
recent version of mpl.  I run py2exe like, "python.exe setup.py py2exe 
-c -p numarray,pytz".

     if os.path.exists('C:\\Python2%i\\share\\matplotlib\\' % ver):

                      ('matplotlibdata', data)],
