The shutdown and restart commands are working for me with RH 8.0 and 
Icewm 1.2.6.

However, I am not using sudo for the commands.  Instead, I changed the 
permission of my shutdown command to this:
-rwsr-x---    1 root     wheel       19982 Jul 18  2002 /sbin/shutdown
and added myself to the wheel group.

Maybe the problem is with Icewm running the shutdown through sudo?
