The Legal Entity Manager by Goldright gives organizations control over global shareholding and mandate structures. It consolidates equity and board-mandate data into one transparent, audit-proof 360-degree overview, centralizing and validating the shareholding structure to replace manual spreadsheets. It maintains a shareholding database with owner traceability and timestamped history for audit-ready reporting. Legal Entity Charts are generated dynamically and update automatically whenever equity ratios or entities change. The Legal Entity Manager centrally captures statutory deadlines, such as shareholder meetings and board sessions, and sends automated reminders. Integrated governance centrally manages ownership and compliance, and a built-in Business Process Engine (BPMN) automates data workflows. An AI assistant answers natural-language questions within the platform, and open APIs support system integration.

About

At SMERGERS, we define business valuation as a technique used to capture the true value of the business. Common approaches to business valuation include Discounted Cash Flow (DCF), trading comparables, and transaction comparables method. A company is held by two categories of owners, shareholders and debt holders. The value of a pure business that accrues to both categories of owners is called the enterprise value, whereas the value which accrues just to shareholders is the equity value (also called market cap for listed companies). Companies are compared using the enterprise value instead of equity value as debt and cash levels may vary significantly even between companies in the same industry. During an acquisition, depending on whether it is an asset purchase or a stock purchase, the valuation of appropriate elements of the business needs to be carried out. Investment bankers widely use this method to value a company during an acquisition.

  • We initially looked at SMERGERS because we wanted to understand the potential market for our business before approaching buyers directly. The platform gave us a way to present the business confidentially and explore interest from potential buyers and investors. The valuation and benchmarking information is also useful as an initial reference point. It helped us think more objectively about the business and the information a potential buyer would want to see. Another advantage is the range of buyer and investor profiles available. Rather than limiting the search to our immediate professional network, we could consider potential counterparties in different markets.
  • We were looking beyond our existing network for potential expansion and franchise opportunities. SMERGERS gave us a structured place to present the business and identify people interested in investing, operating, or expanding within particular sectors and locations. The ability to include business requirements and investment parameters makes the initial matching process more relevant. It is also useful to have different types of members, such as investors, buyers, advisors, and business owners, within the same ecosystem.

Cons

  • A platform can help with discovery and introductions, but it does not remove the need for proper valuation, legal advice, financial due diligence, and negotiation once a serious buyer emerges.
  • As with any marketplace, not every enquiry will be an immediate fit. We still need to qualify prospects carefully before moving into serious discussions.
  • It is primarily an introduction and sourcing platform rather than a complete transaction management system. More advanced deal execution still requires separate tools for documentation, due diligence, and transaction management.
  • The number of available opportunities means that the filtering criteria need to be configured carefully. Otherwise, it is easy to end up reviewing businesses that are only loosely relevant to the investment mandate.
  • Getting the profile information right takes some time. Businesses that have not prepared their financial and operational information in advance may find the initial setup a little demanding.
