Not sure if this is true (can't look it up at the moment), but put it i=
n:
$CDDIR/lib/modules/${KERNELVERSION}/misc

Look at scripts like e100 and freeswan, they both use modules too.

The modules HAVE to be on the CD and outside the package.
Otherwise depmod will fail (as you suspected).
