I always just untarred one into the same directory as the other one.

Why couldn't you just set the sucker's apt-proxy.conf to simply contain 
the normal address of the suckee?  You know, whatever you whatever you 
would put int /etc/sources.list if you wanted to fetch from the suckee 
machine directly.
