Debugging with Visual Studio revealed that the cause was Access violation error.
I also checked that I used the 64 bit dll and IIS is running in 64 bit mode too.

I have the same issue with IIS 8 (IIS 7 works fine with CE 2.4)

in case anyone wondering, this issue was resolved with a beta version of the newer agent.
