About

At SMERGERS, we define business valuation as a technique used to capture the true value of the business. Common approaches to business valuation include Discounted Cash Flow (DCF), trading comparables, and transaction comparables method. A company is held by two categories of owners, shareholders and debt holders. The value of a pure business that accrues to both categories of owners is called the enterprise value, whereas the value which accrues just to shareholders is the equity value (also called market cap for listed companies). Companies are compared using the enterprise value instead of equity value as debt and cash levels may vary significantly even between companies in the same industry. During an acquisition, depending on whether it is an asset purchase or a stock purchase, the valuation of appropriate elements of the business needs to be carried out. Investment bankers widely use this method to value a company during an acquisition.

Pros & Cons from Real Users

Pros

  • As a boutique corporate advisory firm representing mid-market clients, expanding our sell-side exposure beyond local buyer lists is critical. SMERGERS gives our advisory practice a platform to present client mandates to an international audience of qualified buyers, corporate acquirers, and investment funds. The dual-opt-in introduction model is well-designed for corporate finance workflows. It allows us to screen incoming buyer profiles, verify financial capability, and exchange NDAs before opening direct communications.
  • Our family office focuses on acquiring controlling stakes in sustainable manufacturing and commercial service businesses. Sourcing proprietary deal flow outside our domestic region used to require extensive broker networks. SMERGERS serves as a central pipeline for lower-middle-market opportunities across Asia, Europe, and North America. The platform's search parameters allow our deal team to filter opportunities by annual EBITDA, geography, asset ownership, and deal structure. Reviewing verified financial teasers upfront saves us considerable time during the preliminary screening phase.
  • As a boutique M&A advisory firm representing middle-market clients, expanding our investor network beyond local markets is essential for completing deals efficiently. SMERGERS serves as an active global network connecting our sell-side mandates with verified corporate buyers, family offices, and private equity firms. The built-in communication tools and non-disclosure agreement mechanisms streamline the initial contact phase. The analyst team pre-qualifies counterparties, ensuring my team avoids unvetted inquiries and stays focused on actionable opportunities.
  • When evaluating strategic exit options for our enterprise software business, maintaining strict confidentiality was critical to protect our client base and team. SMERGERS enabled us to create a confidential profile that presented our financial metrics and operational highlights without revealing our identity until mutual interest was established. The automated valuation benchmarks and structured teaser format gave us a clear baseline for negotiating with potential acquirers. Within two months of listing, we received direct inquiries from several qualified private equity groups and strategic enterprise buyers.
  • Our investment firm targets middle-market manufacturing and logistics tech companies for strategic acquisitions. Finding clean data and direct contact with business decision-makers can be difficult, but SMERGERS provides an organized repository of vetted business profiles. The search filtering tools allow us to quickly isolate target opportunities based on financial benchmarks, regional location, and deal structure. We also appreciate the platform's verification protocol. Knowing that listing summaries are pre-screened gives our deal team confidence that we are reviewing legitimate opportunities rather than unverified leads.

Cons

  • While SMERGERS excels at deal discovery and initial matchmaking, subsequent transaction steps, such as virtual data room management, formal due diligence, and legal closing contracts, must be handled through external software.
  • Given the volume of listed opportunities, investors must configure tight filtering criteria to avoid spending unnecessary time evaluating deals outside their strict investment mandates.
  • While SMERGERS excels at matching buyers and sellers, deal execution tasks - such as virtual data room hosting, definitive legal documentation, and escrow management - must be conducted using separate external software.
  • Preparing the business profile requires significant time upfront. Gathering verified financial data and key performance indicators demands effort from the executive team during onboarding.
  • The platform functions primarily as an introduction and deal-sourcing engine. Detailed financial verification and physical asset checks still require traditional offline due diligence and direct collaboration with sell-side advisors.
