Briefly, Tux4Kids is participating in Google Summer of Code 2008. As a mentoring organization, Tux4Kids is to receive money from Google ($500 per student we've mentored, or $5500). Tux4Kids is not a non-profit organization, or part of any (such as OSEF) at this time. Therefore, one of us (most likely: me) would need to receive the money from Google, and redistribute it to the other mentors. This could impact that person's income tax. Software in the Public Interest (SPI) is a non-profit that's an umbrella organization for a number of mentoring organizations in this year's GSOC program (and has been in the past). As a non-profit, they're able to accept the mentor payments, and distribute them to the mentors of those organizations, without taking a tax hit. It appears that SPI is interested in Tux4Kids becoming a member project (other member projects of SPI include Debian, OpenOffice.org, Drupal, freedesktop.org, PostgreSQL and wxWidgets), and is willing to accept GSOC payment on our behalf this year. (They only ask that (1) they keep 5% of the mentor payment ($275) for administrative costs and (2) if we change our minds about becoming an SPI member project, we donate all of the money to SPI.) To all of you who consider yourself part of one or more of the projects currently under the 'Tux4Kids' umbrella ("Tux Paint", "Tux, of Math Command" and "Tux Typing II"), do you have any objection to this? At this point, I'm not sure who will be 'head' of Tux4Kids under SPI, but I'm more than happy to. I'm not 100% sure what SPI needs from us (e.g., in terms of structure of our member project's organization) but I've skimmed over their Bylaws and Cert. of Incorporation, and it seems a good fit to me. Their website is at: http://www.spi-inc.org/ Thanks in advance, -- -bill! "Tux Paint" - free children's drawing software for Windows / Mac OS X / Linux! Download it today! http://www.tuxpaint.org/ |

I'd be honored to accept. Some good reading on the subject: http://www.spi-inc.org/secretary/joining-spi-projects.html which points to: http://www.spi-inc.org/corporate/resolutions/2004-08-10-iwj.1 As a summary, SPI provides two main services to projects: * Property This includes Money (donations and holding), Intellectual Property (copyrights) and Other (for example, hardware) * Legal advice and Representation I spoke briefly with Bdale Garbee, president of Software in the Public Interest. (Also happens to be Linux CTO at Hewlett-Packard :^) ) He said: what matters to SPI is that there is someone (individual, can be an assigned role that changes like the elected Debian Project Leader) we can treat as authoritatively speaking for the project in matters involving distribution of the project's assets, etc we don't really care how the project is structured internally as long as the project's objectives match our charter, and everyone understands that we must always act in accordance with applicable laws, the rules regarding contributions to 501(c)3 organizations, etc, then we're nearly there a number of our associated projects don't have large or complex structures, part of the reason SPI exists is to help projects avoid needing to (re-)build legal existence overhead when it's just a distraction from getting the real work done I said: "only question now is: what's next?", to which he responded: take the text of the sample resolution, fill in all the blanks, and send me the resulting draft. I'll look it over, tweak if necessary, and put it up where contributing members can comment prior to our next board meeting given that we're more than two weeks out, I think we could safely put it on the agenda for the Sept meeting you should also suggest that all the relevant participants in tux4kids consider becoming SPI contributing members if they aren't already, so that they will have a voice (vote) in SPI activities. And pass the draft resolution by them in case they have any concerns or suggestions. finally, you should plan to attend the SPI board meeting (here) where the resolution is reviewed and voted on, so that any final questions can get answered, and the invitation can be immediately accepted if the vote passes (Where "here" is the public #spi IRC channel on irc.oftc.net, and "two weeks" is September 17th, the date of SPI's next board meeting.) So, considering this, does anyone have objections to: (1) The "Tux Paint," "Tux, of Math Command," and "Tux Typing II" projects, under the umbrella organization name of "Tux4Kids", becoming a member project of Software in the Public Interest (SPI). (2) Me (Bill Kendrick, lead dev. of Tux Paint, and intial dev. of TuxMath) being one of (or the sole) 'authoritative decisionmaker' for Tux4Kids' SPI membership? (Do heads of other projects -- e.g., David Bruce & Tim Holy -- also wish to be decisionmakers? Anyone else?) (A major aspect of this, BTW is that this person(s) "is authorized to act for your project (most commonly to approve disbursements but not restricted to this purpose).") By the end of this week, I'll 'fill in the blanks' in the sample resolution (found at the bottom of the "Joining SPI (projects)" page) and send it to Bdale. Please let me know if you'd like to be Cc'd and kept in the loop. -bill! |

I've sent the draft resolution to Bdale for review, Cc'ing Josh Berkus (SPI treasurer & the SPI<->GSOC guy), as well as the folks here who said they wished to be Cc'd. I've listed myself and David Bruce as the 'decisionmakers.' As a reminder, the next SPI board meeting will be Sept. 17th. -- -bill! I'm very fine with this, thanks for your work on this! Two minor remarks: a.) IMO it should be the "Tux Typing" (or Tuxtype?) project and not "Tux Typing II". b.) I'm also very fine if David or Tim want to become decisionsmakers in this. regards, Holger |

It doesn't matter much to me - I'm happy letting Bill be the decision maker, but I also would be happy to be a decision maker for the projects I'm involved with if it would help. Certainly Tim and Holger would also be appropriate. I'm very fine with this, thanks for your work on this! > > Two minor remarks: > > a.) IMO it should be the "Tux Typing" (or Tuxtype?) project and not "Tux > Typing II". Yes - just "Tux Typing" - I've been meaning to modify the logo to get rid of the '2'. David |
