If it contains an unescaped "&" then it isn't an XML file, and there is no way to process non-XML files using XSLT (except as raw unparsed text, but I guess that isn't what you want).

The XML philosophy is draconian error handling: you have to get the XML right when you generate it. There may be tools you can find on the net that attempt to repair bad XML before it reaches Saxon.
