Ok, there must be a pndropbox.log file in \plugins\pndropbox directory. Does it exist and is there any record in it?
Have you changed recently any note's name (or created one) so that there is " ' " character in it?
Do you use english as UI language?

Do you have any pnotes files on dropbox or this is the first time you try to sync?
there is a pnotes file from my work machine
Are pnotes versions identical on both machines?
Are dropbox plugins identical? If they aren't - try to update to latest one.
PNotes (3.1.0.3) is identical as is the Dropbox plugin (2.0.0.0)

Well, it was of course " ' " character. Please update your plugins. Thank you very much for discovering the bug!
Updated plugin and appears to be working properly.
That one always gets me too - quote inside quotes.
