It actually registers at the same pci address: 14e4:4320 as the TM1300
internal MPCI on my laptop. I had to first disable the internal MPCI
card; without that, I got oops. After that it worked perfectly fine
(including multiple AP scanning - I had to try that, of course).

It would've been much easier if you mentioned exactly what problem you
had in utils directory. Anyway, here is mini howto, although most of
these steps are already mentioned in README file.
First, make sure you have the kernel sources for the kernel version
you are currently running. Then, in the driver directory, do
make -f Makefile.24
If this is successful, do
in utils directory. If this complains about 'flex: command not found'
or something similar, then you need to install flex tool.
Then you insert the ndiswrapper.o module:
from the driver directory. Then use loaddriver to initialize:
./loaddriver 14e4 4320 <wpc54g_dir>/lsbcmdns.inf <wpc54g_dir>/bcmwl5.sys
in the utils directory.
Then iwconfig eth0 key <key> essid <essid> ...
Once you get this to work, you can make it all automatic. See README
