I would prefere if I could run MUTE as background
server without an (G)UI.
For administration, search and download there it should
be possible to connect to the server. This should be
possible also from a different mashine over a network.
The UI can be a HTML interface to be connect with any
browser.

There's one thing you can try, find a shell which minimizes to
tray or runs in a way you like. Run the command line interface
from that shell, then remotely connect to that shell.

    A ssh client: http://www.chiark.greenend.org.
    uk/~sgtatham/putty/
    A ssh server for win32: http://lexa.mckenna.edu/sshwindows/

If using linux or something alike try: www.openssh.org

    Madman2003.

Why not still have the GUI but let it minimize to the system
    tray like Shareazza does?

For me, proxies at work only allow HTTP. So a ssh connection
is no option. It's generally a good idea to divide the gui from
the core (i.e. mldonkey). That way you can focus on the more
pressing tasks instead of worrying about the gui. Provide a
good interface definition between gui and core and other
teams can write gui's to their liking (ascii, html, java, native,
    whatever).
