Hi all, Eric's been working on Articles of Incorporation and the bylaws for Banda Media (plain Banda is taken for organizations). He asked me to do a purpose statement here is what I got: The purpose of Banda Media is to help artistic communities worldwide thrive. Through the development of efficient distribution software, Banda Media aims to help artists maximize their revenue. Furthermore, through technical and art education, Banda Media aims to build richer, more self-reliant local communities to participate in the global community. Thoughts? Also, who else signed up for the thing on Saturday Michael was talking about? I'm planning on going and scoping it out. Any chance the website could be back up by then? Thanks, Scott |

Any chance the > website could be back up by then? > as i told evan, moving to a new virtualization system is kinda freaking me out, and i need to do a lot of experimenting on a box at home before i feel comfortable that i could configure a machine remotely without fubaring it. however, in the meantime i could migrate the website over to my server, so at least the website would be accessible. web devs, what software is needed to bring up the site? just wordpress + some plugins? -- .~. Yeah, should be. The site's just running Wordpress, some form plugin Rich got, and I think WP Super Cache. And here are those documents. I added the purpose statement to the Articles of Incorporation with two modifications: 1) I reformatted it in a more legalese list manner (but your version works great for the general public version). 2) I changed 'maximize their revenue' to 'share their work with the community' to give it a more charitable feel. Feedback I need from all you besides general comments or requests about the documents: 1) We need a registered agent and office. Pretty much that is someone we trust at a physical (not po box) address that will accept communication from the state or legal notices on our behalf. Ideally, it would be our lawyer, but we don't have one and probably can't afford one. It could be one of us, but most of us rent a home or apartment, and most leases forbid any commercial use. The best option I can think of is having one of our parents (who owns a home) fill the role, and using the parent's house as the official 'registered office'. 2) We need an initial board. Who wants to be on it, and what non-engineer people do you know that might also be interested? 3) Make sure I numbered stuff right in the documents, as I don't trust myself to not screw that up. ~Eric -----Original Message----- From: mdn...@li... I will speak to my parents about the mailing address, they should be alright with that. I havent had a chance to read the articles yet, but I will this afternoon. I'm a bit mystified by the "technical and art education" part tho. Is this referring to the application itself, meaning the act of using the product will educate the user about art (local bands) and technology (p2p)? Some other means, I was thinking as community outreach. We could do it at schools and our office.
