I just a conflict with getting my 2.4 kernel to work with my ethernet card.
I too received the PCI message upon boot along with the pci boot parameter.
My old ISA ethernet card was set to IRQ 10 (pin A?), but I noticed in
/proc/interrupts that irq 10 was being used for something called ACPI, which
is something for power management. I turned that off in the kernel config,
recompiled the kernel, and now it works.

I hope that works for you too!
