There have been a lot of fixes between 1.2.3 and the latest build so 
you're really better off with more recent code.

The build instructions are at 
http://htmlunit.sourceforge.net/buildingFromCvs.html and if I recall 
correctly, those instructions are also applicable for 1.2.3.
