I am using the Palo 43 board. I started with the image I wanted, formatted to exactly 480x272. I have used Ash's bootlogo.sh script to generate an "initlogo.rle.keep" file. I then replaced the file in /device/gumstix/overo with the new generated one. After, I rebuild the kernel and uboot from scratch. Yes, I believe you need to do the rootfs build. The kernel and uboot build is not required for changing the initlogo.rle.keep file. Thanks for the response. I got it working by just changing the file over ADB like you said. Another question: I have been having trouble getting successful builds of the rootfs. Will extracting the prebuilt rootfs.tar.bz2, editing the files, and then rebuilding the tarball work? I suggest posting the errors you mentioned while trying get a successful built of rootfs and the steps/commands that you used.
