The SYSLINUX list is probably the first and best place for you to be asking this kind of thing. One thing I would recommend is trying to do this on a Linux system, which is much more well- documented (and there are probably a lot more people who can help you with it), then see if there is something different between the two systems (tftpd vs. win32tftpd, dhcpd vs. the windows equivalent, etc.) If you provide enough specific information for those of us who have a windows machine around to duplicate your setup, some of us will be willing to do this, I'm sure.
