I have tried in both Windows XP Pro x64 and Windows 7 x64.
The installer says (even though .NET 4.0 is already installed):

This setup requires the .NET Framework version 4.0. Please install the .NET Framework and run this setup again. The .NET Framework can be obtained from the web. Would you like to do this now?

Do you have .NET 4 client profile or .NET 4 Full edition? I suggest you get .net 4 Full from Microsoft site.
