This means your directory "/dev" is empty.

Mount your image from any other running Linux (for example Knoppix),  mount the image as loop, and create this devices:

# mknod -m 600 dev/console c 5 1
# mknod -m 666 dev/null c 1 3
# mknod -m 666 dev/zero c 1 5

Or try to use "initrd=initrd.gz". Our initrd does this also for you.
