I located and eradicated the "make" bug!
register_globals = On; (in php.ini)

So what have we learned today?
During a Win32 install make sure $BCHOME is set.
Turn "register_globals" and "register_argc_argv" on in php.ini.
And if you don't like seeing the PHP headers during the make add a -q in
proccessprepend.php:
#!c:/php/php.exe -q
