The problem *was* due to an immutable .journal file,
Deleting file using methiod outlined in message below, and
then running tune2fs with kernel 2.4.14 works. I now have
ext3 running happily. Thanks for your help,

Same problem here. I am logged in as root and get
Creating journal inode:
tune2fs: Permission denied
while trying to create journal file
Got the same for my /boot (/dev/hda1), until I unmounted it
(in single user mode), then tune2fs -j /dev/hda1 worked.
However if I repeat this on / (/dev/hda6) then the message
changes to a tune2fs...
