The command I ran that generated above error was s3cmd sync  s3://bucket1 s3://bucket2
When I tried it again and gave it another subdirectory, seems to be working much better, i.e.

s3cmd sync s3://bucket1/backups s3://bucket2  so please disregard previous message for now
