I tried running py2exe from within PythonWin and it does give strange results. The first problem (there may be more) is that PythonWin starts setup.py in my home directory (C:\Documents and Settings\Jimmy Retzlaff) rather than the script's directory which confuses py2exe since the scripts being packaged aren't there. Jim's advice is good, except that the "bdist_wininst" parameter is not necessary for building normal programs with py2exe. You would only use that to build packages that install into someone's Python environment - for example I used that command to build the py2exe-0.6.3.win32-py2.4.exe file which you probably used to install py2exe itself.
