You have to tell us what you are doing (and trying to do) first.
Try providing your setup script and telling us what you are trying to build.
 
I use py2exe on WindowsXP all the time.

However, there are build and dist directory trees created.

 
Then I try to run it from the DOS command window. I get no error messages, but nothing happens. It does not even create the directories.
