What kind of board do you have? Maybe try:
mem=96M@0x80000000 mem=128M@0x88000000
and see if that boots. If the kernel is not booting it has to be something simple like the memory configuration doesn't match the physical hardware.

Thanks,

I interrupted the boot, typed:

setenv bootargs console=ttyS2,115200n8 mpurate=720 vram=12M i2c_bus=3,100
mem=96M@0x80000000 mem=384M@0x88000000 omapfb.mode=dvi:1024x768MR-16@60
omapdss.def_disp=dvi root=/dev/mmcblk0p2 rw rootfstype=ext3 rootwait

then run mmcargs ; saveenv.

Now it hangs after "Uncompressing Linux... done, booting the kernel.".

So I then erase nand and started over again with stock mmcargs command :
setenv mmcargs setenv bootargs console=ttyS2,115200n8 root=/dev/mmcblk0p2 rw
rootfstype=ext3 rootwait
run mmcargs ; saveenv.

the boot got past the hang.

Next, I added just the mem stuff:
setenv mmcargs setenv bootargs console=ttyS2,115200n8 mem=96M@0x80000000
mem=384M@0x88000000 root=/dev/mmcblk0p2 rw rootfstype=ext3 rootwait
run mmcargs ; saveenv.

Still hangs.

Any ideas?
