I don't use this package but isn't it included in MiKTeX by default under Formats/LaTeX/LaTeX contrib/gloss from the Packages tab in MiKTeX options? If that's not the right package, and you have to install it from CTAN or wherever yourself, then read on...

This directory isn't created any more: I can't remember which version of MiKTeX dropped it but it's because creating directories in the root directory is generally considered bad (at least for programs to do so by default is bad) and a lot of people don't need localtexmf anyway. You can set-up a "TeX root" of your own from the "Roots" tab of the MiKTeX options program. All you need to do is to create a directory (e.g. C:\Users\Alfonso\Documents\texmf) and inside that create a directory called tex and then add C:\Users\Alfonso\Documents\texmf as a root from MiKTeX Options's Roots tab. Place your tex files inside C:\Users\Alfonso\Documents\texmf just as you would have placed files in C:\localtexmf and refresh the FNDB as normal.

What sort of files and which previous versions of MiKTeX? Some tex files designed for older versions (around MiKTeX 2.4/2.5) may have issues with font filenames changing - I got stung by that a few years ago because several MiKTeX packages corrected filenames for some fonts - the result is better, but the transition was painful!
Equally, packages do evolve so if you haven't upgraded MiKTeX for a long time then you may just have to change some of your TeX files to cope with new changes. comp.text.tex is a good place for general LaTeX questions.
